These Terms of Use ("Terms") govern your access to and use of the website located at cecuro.ai and any pages that link to these Terms (the "Site"). The Site is operated by Cecuro, Inc. (together with its affiliates, "Cecuro," "we," "us," or "our").
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1) Who May Use the Site
You must be at least 18 years old (or the age of majority where you live) to use the Site. By using the Site, you represent that you meet this requirement and have authority to agree to these Terms.
2) Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll post the new Terms on the Site with a new "Last Updated" date. Your continued use of the Site after the updated Terms become effective means you accept them.
3) The Site and Content
The Site may include text, graphics, software, documentation, video, audio, designs, logos, trademarks, service marks, and other materials (collectively, "Cecuro Materials"). Except as expressly stated in these Terms, we and our licensors own all right, title, and interest in and to the Site and Cecuro Materials, which are protected by intellectual property laws worldwide.
Limited License
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and Cecuro Materials solely for your personal, non-commercial use and/or to learn about Cecuro's products and services.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, translate, create derivative works from, or otherwise exploit the Site or Cecuro Materials, except as permitted by law or expressly authorized in writing by Cecuro.
4) Acceptable Use
You agree not to:
- Use the Site in violation of these Terms or any applicable law or regulation;
- Access or attempt to access non-public areas of the Site, Cecuro's systems, or our providers' systems;
- Interfere with or disrupt the Site (e.g., introducing malware, flooding, overloading, or denial-of-service attacks);
- Use automated means (including robots, spiders, scrapers, or offline readers) to access the Site in a manner that sends more requests than a human could reasonably produce using a standard browser;
- Circumvent or attempt to circumvent any access controls, rate limits, or usage restrictions;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Frame, mirror, or otherwise display the Site or any Cecuro Materials without our prior written consent;
- Use the Site to develop, train, or improve models, systems, or services that compete with Cecuro, unless we provide prior written permission.
5) AI/ML Inputs and Outputs (If You Interact With Our Demos or Tools on the Site)
If the Site includes interactive demos, playgrounds, or other AI features (collectively, "AI Features"):
The provisions of this Section 5 govern your use of public AI Features on the Site. If you and Cecuro have entered into a separate written agreement (such as a non-disclosure agreement, engagement letter, or master services agreement) covering your submissions, that agreement governs the treatment of your Inputs and Outputs and controls in case of conflict with this Section 5.
Your Inputs
You are responsible for the content you submit ("Inputs"). Do not submit personal data, confidential information, or content you do not have permission to use.
Outputs
The AI Features may generate content ("Outputs") based on your Inputs. Subject to your compliance with these Terms, we grant you a license to use Outputs for your lawful internal or personal purposes. You acknowledge that (a) Outputs may be similar to outputs generated for others, (b) Outputs may contain errors or be incomplete, and (c) you should independently review Outputs, especially for accuracy, safety, and compliance.
Use Restrictions
You may not use Inputs or Outputs to: (i) violate laws; (ii) infringe IP or privacy rights; (iii) generate or disseminate malware, fraud, or disinformation; (iv) create or distribute unlawful, hateful, or sexually explicit content; or (v) train or fine-tune competing AI models without our written permission.
No Professional Advice
Outputs are provided for informational purposes only and are not legal, medical, financial, or other professional advice.
6) Audit Services and Reports
If Cecuro performs a security audit, code review, or related professional services for you (collectively, "Audit Services") and delivers any report, findings list, or other written deliverable (an "Audit Report"), the following terms apply in addition to any separate engagement letter or master services agreement governing those services. In the event of a conflict, the engagement letter or master services agreement controls.
Point-in-Time Assessment
An Audit Report reflects our review of the code, configuration, and information made available to us within a defined scope and during a defined time window. We do not review code or changes made after the cutoff identified in the report. Any modification to the audited code—including bug fixes, refactors, dependency upgrades, or deployment configuration changes—may invalidate findings, introduce new issues, and is outside the scope of the Audit Report unless we expressly re-review it in writing.
No Guarantee of Security
Security auditing is inherently incomplete. An Audit Report represents our reasonable professional effort to identify issues within scope but is not a guarantee, warranty, or certification that the audited code is secure, bug-free, free of vulnerabilities, fit for any particular purpose, or compliant with any law, standard, or specification. The absence of a finding in an Audit Report does not mean the code is free of that class of issue. New vulnerabilities, attack techniques, and dependencies may emerge after delivery of the report.
Scope is Defined Per Engagement
The scope of any Audit Services—including which contracts, files, commits, components, and review techniques are covered—is defined in the applicable engagement letter, statement of work, or other written agreement between you and Cecuro. Anything not within that defined scope is excluded from the Audit Report. Examples of areas that are commonly out of scope unless expressly included in writing are: code outside the listed contracts or commit hash; third-party libraries, oracles, bridges, or off-chain components; deployment scripts and procedures; governance, key management, or operational security; economic, market, or game-theoretic risk; legal, regulatory, tax, or compliance matters; and formal verification. Any of these may be in scope when the engagement so provides.
No Reliance by Third Parties
Audit Reports are prepared for the engaging client only. Cecuro accepts no responsibility or liability to any third party (including investors, users, lenders, integrators, or counterparties) that relies on, references, or accesses an Audit Report, whether directly or via public disclosure. Public disclosure of an Audit Report, in whole or in part, does not extend any duty of care or warranty to readers.
Customer Responsibility
You remain solely responsible for the security, correctness, deployment, monitoring, and ongoing operation of your code and systems, including responding to incidents and applying fixes. Cecuro is not your insurer and does not underwrite, indemnify, or otherwise assume risk for losses, exploits, hacks, or other adverse events affecting your code, users, or assets, regardless of whether such events relate to issues identified, missed, or not in scope of an Audit Report.
AI-Assisted Review
Some Audit Services may use AI-assisted tools, including automated analysis pipelines, as part of our workflow. The disclaimers in Section 5 ("AI/ML Inputs and Outputs") apply to any AI-generated or AI-assisted content delivered to you, in addition to the disclaimers in this Section 6.
7) Feedback
If you send us ideas, suggestions, or feedback ("Feedback"), you grant Cecuro a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, create derivative works from, and exploit the Feedback without restriction or compensation.
8) Third-Party Links and Services
The Site may contain links to third-party websites or services. Links are provided for convenience and do not imply endorsement. We are not responsible for third-party websites, services, or content, and your use of them is at your own risk and subject to their terms and policies.
9) Accounts, Beta Features, and APIs (If Offered)
We may offer accounts, beta/preview features, or application programming interfaces ("APIs") with separate terms. Where applicable:
Registration
You must provide accurate information and keep your credentials secure. You're responsible for all activity under your account.
Beta
Beta or experimental features are provided "as is," may be discontinued at any time, and may be subject to additional rules or limits.
API Keys
Do not share API keys. You must comply with any documentation, limits, and branding guidelines we publish.
10) Intellectual Property Infringement
We respect intellectual property rights and expect users to do the same. If you believe content on the Site infringes your rights, contact us at [email protected] with sufficient details to identify the work claimed to be infringed, the allegedly infringing material, and your contact information. If you are in the United States, you may also send a notice consistent with the DMCA.
11) Privacy
Your use of the Site is subject to our Privacy Policy available at https://cecuro.ai/privacy. Please review it to understand how we collect, use, and share information.
12) Disclaimers
THE SITE, AI FEATURES, AND CECURO MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CECURO AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR OTHERWISE UNSUITABLE FOR YOUR PURPOSES.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CECURO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR AI FEATURES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, CECURO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED USD $100.
Paid services (including Audit Services described in Section 6) are governed by a separate written engagement letter or master services agreement, which controls in case of conflict with these Terms.
Some jurisdictions do not allow limitations of liability for certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.
14) Indemnification
You will defend, indemnify, and hold harmless Cecuro and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use or misuse of the Site, AI Features, Inputs, or Outputs; (b) your violation of these Terms; or (c) your infringement or misappropriation of any rights of a third party.
15) Suspension and Termination
We may suspend or terminate your access to the Site at any time and for any reason, including if we reasonably believe you have violated these Terms. You may stop using the Site at any time.
16) Export and Sanctions
You may not use or access the Site if you are barred under applicable export control or sanctions laws. You agree to comply with such laws in connection with your use of the Site.
17) Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. You and Cecuro agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for all disputes arising out of or relating to these Terms or the Site. If you are a consumer in the EEA/UK, mandatory consumer protection laws of your country of residence may apply, and this clause does not deprive you of those protections.
18) Miscellaneous
Entire Agreement
These Terms, together with the Privacy Policy and any additional terms referenced herein, are the entire agreement between you and Cecuro regarding the Site.
Severability
If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Force Majeure
We will not be liable for any delay or failure to perform due to causes beyond our reasonable control.
